Notice to Directory Participants: This Master Partner Agreement ("Agreement") is entered into by and between Best in the Business ("Company", "Platform", "We") and the participating business entity ("Participating Business", "Partner", "You"). By signing below or executing an electronic enrollment form, Participating Business agrees to be legally bound by all terms, conditions, liability waivers, and intellectual property licenses contained herein across all membership tiers.

1. Purpose & Directory Scope

Best in the Business operates a local business directory located at www.bestinthebusiness.us designed to feature verified local service providers and connect them with prospective clients. Participating Business desires to establish and maintain a business listing on the Platform to receive direct lead routing, customer exposure, and marketing support appropriate to their selected tier.

2. Tier Terms, Billing & Renewal

2.1 Tier Features: Features, positioning, and promotional placements are determined by the selected tier as outlined on www.bestinthebusiness.us.

2.2 Fee Waivers & Promotional Terms: If Participating Business enters as a Founding Member or under a promotional code, all application fees and monthly/annual subscription fees associated with the Preferred Partner tier are waived 100% for the first 12 months.

2.3 Auto-Renewal & Upgrades: Following any complimentary or initial paid term, listings will renew under standard directory pricing unless canceled in writing 30 days prior to the expiration date. Participating Business may upgrade their membership tier at any time.

3. Limited Trademark & Copyright License (Marketing Rights)

Participating Business hereby grants to Best in the Business a non-exclusive, worldwide, royalty-free, revocable license to use, reproduce, display, publish, and distribute Participating Business's corporate name, trade name, trademarks, service marks, logos, commercial slogans, brand imagery, copyrighted media, photos, and business descriptions (collectively, "Brand Assets").

Strict Scope of Authorized Marketing Channels: The license granted in this Section is strictly limited to promoting, marketing, and advertising the Participating Business's listing on Best in the Business across the following specific channels:

  • Official Directory Website: Display on www.bestinthebusiness.us and associated web properties.
  • Email Marketing Campaigns: Promos, newsletters, lead blasts, and verified partner announcements.
  • Social Media Outlets: Official social accounts (including Facebook, Instagram, LinkedIn, X, and YouTube).
  • Text Messaging (SMS/MMS): Direct text marketing, referral alerts, and promotional announcements.

Best in the Business acquires no ownership rights in Participating Business's Brand Assets. All goodwill generated through the use of such assets shall inure solely to the benefit of Participating Business.

4. Complete Limitation of Liability & Hold Harmless

4.1 Direct Contracting Between Parties: Best in the Business functions solely as an advertising medium and directory platform. Best in the Business is not a party to any contract, agreement, work order, transaction, or relationship established between Participating Business and any customer, lead, or consumer sourced or derived through the Platform.

4.2 Absolute Waiver of Liability: Under no circumstances shall Best in the Business, its owner(s), officers, directors, employees, agents, affiliates, or successors be held liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, financial losses, property damages, personal injuries, or disputes arising out of or related to:

  • Any work, labor, services, consultations, or physical projects performed by Participating Business;
  • Any breach of contract, negligence, poor workmanship, construction defect, delay, or damage caused by Participating Business or its sub-contractors;
  • Any failure of Participating Business to maintain proper licensure, bonding, or insurance;
  • Any direct interactions, inquiries, leads, or referrals generated through www.bestinthebusiness.us.

5. Assumption of Risk & Customer Indemnification

5.1 Assumption of Liability: Participating Business assumes 100% full, sole, and exclusive legal, financial, and operational liability for any and all work, services, products, or representation provided to any client, customer, or individual introduced to Participating Business through Best in the Business.

5.2 Indemnification: Participating Business agrees to defend, indemnify, and hold harmless Best in the Business, its officers, employees, and agents from and against any and all third-party claims, demands, suits, losses, liabilities, damages, regulatory fines, legal judgments, costs, and expenses (including reasonable attorney's fees) arising out of or resulting from:

  • Services rendered or failed to be rendered by Participating Business;
  • Any contract dispute between Participating Business and its customers;
  • Any bodily injury, property damage, or monetary dispute caused by Participating Business.

6. Business Representations, Licensing & Insurance

Participating Business represents and warrants that: (a) it possesses all state, county, and municipal licenses, permits, and registrations legally required to conduct its trade; (b) it maintains adequate commercial general liability insurance and workers' compensation coverage as mandated by applicable law; and (c) all marketing materials provided to Best in the Business are accurate and do not infringe on third-party rights.

7. Term, Termination & Governing Law

This Agreement commences upon execution and shall remain in effect for the duration of the listing term. Either party may terminate this agreement upon thirty (30) days written notice. Upon termination, Best in the Business will remove the Participating Business's profile and cease active use of Brand Assets within 10 business days. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.

8. Execution & Acceptance

By submitting a business listing, checking the online acceptance box, or returning a signed copy of this Agreement, Participating Business agrees to all terms, conditions, liability limitations, and licensing rights set forth herein.

Notice of Platform Acceptance: Genesis Media's activation and publishing of Participating Business's profile on www.bestinthebusiness.us shall constitute Genesis Media's full acceptance and execution of this Agreement without requiring a separate signature from Genesis Media.
